BioMe Health and Performance Limited –  Employee Programme Participation Conditions

1. These Participation Conditions

1.1            What these Conditions cover. We are BioMe Health and Performance Limited. These are the Conditions on which you may participate in a BioMe wellbeing programme made available by us to employees of our clients. Our wellbeing programme is referred to in these Conditions as “the Programme”. The Programme may comprise a combination of group or individual workshops, consultations, coaching sessions, and coaching resources. The Programme may also include an online wellbeing questionnaire (the “Questionnaire”).  Please pay particular attention to the Disclaimer in section 2 below before registering to participate in the Programme. The Programme is not a substitute for medical advice. If you have any concerns regarding your health you should discuss them directly with your GP or a doctor.

1.2            Why you should read these Conditions. Please read these Conditions carefully before you register for the Programme. These Conditions tell you who we are, how we will operate the Programme, some important responsibilities on you as a participant, what to do if there is a problem and other important information. 

1.3           Please pay particular attention to our [Privacy Notice]. This sets out important information as to how we will use any information obtained or collected from you.

1.4            If the Programme includes the Questionnaire, you must complete the Questionnaire and submit it to us no later than 7 days from the date you receive it. We will send you a link to the Questionnaire when we accept your registration for the Programme. You must complete and submit it via Typeform within 7 days of receiving the link. We may not be able to give you accurate or useful guidance if you have not submitted your completed Questionnaire in this way.

2. Disclaimer

2.1            The Programme is not a substitute for medical advice. We do not undertake any diagnostic or screening procedures for any disease, disorder or injury; nor do we treat any disease, disorder or injury. If you have any concerns regarding your health you should discuss them directly with your GP or a doctor.

2.2            The information and opinions expressed by us in the course of the Programme are based on our best judgment and knowledge. Ultimately, of course, the Programme is provided for your information only, as one of many information points you will use in determining a course of action that is appropriate for you. No action or inaction should be taken based solely on the contents of this information. We are confident in the soundness of our information and judgment, but we cannot guarantee that application of it in your particular circumstances will achieve your desired outcome. Whilst we can provide you with the knowledge, tools and skills which in our experience can help people achieve their wellbeing goals, we cannot guarantee that you will achieve your goals.

3. Information about us and how to contact us

3.1            Who we are. We are BioMe Health and Performance Limited, a company registered in England and Wales. Our company registration number is 11607439 and our trading address and registered office is at 22 Farfield Road, Shipley, United Kingdom, BD18 4QP. Our registered VAT number is 307976961.

3.3            How we may contact you. If we have to contact you, we will do so by telephone or by writing to you at the email address you provided to us when registering for the Programme or in the Questionnaire you complete.

4. The Programme

4.1            Nature and extent of the Programme. Prior to, during or after you register for a Programme, you will be provided with information regarding the contents of the Programme.

4.2            Minor changes to the Programme. We may change the Programme: 

(a) to reflect changes in relevant laws and regulatory requirements; 

(b) in order to improve the Programme as deemed necessary by the BioMe team according to new evidence or best practises regarding health, wellbeing and behaviour change; or

(c) to implement minor technical adjustments and improvements. These changes will not affect your ability to access the Programme.

4.3            No charge. We have a contract with your employer to deliver the Programme. We do not make any charge to you for your participation in the Programme. 

5. Our operation of the programme

5.1            How we operate the Programme. The component parts of the Programme will be as set out prior to, during or after the registration process. We determine the structure of the Programme and the way we deliver it, in accordance with any requirements agreed with your employer. The Programme may comprise one or more live sessions, either in-person or online (referred to as ‘Sessions’ in these Conditions). Some Sessions will be conducted as a group, others may be with you individually. Other parts of the Programme will be conducted remotely via email, website or other digital communication.

5.2            Dates and times of Sessions. We will let you know when and where the Session is scheduled to take place, or in some cases we may offer you a selection of dates and times.

5.3            We are not responsible for delays outside our control. If any Session is delayed by an event outside our control then we will contact you as soon as possible to let you know and we will take steps to minimise the effect of the delay.

5.4            If you do not attend a Session. In the event of your being unable to attend a Session at the time you originally booked, we will use reasonable endeavours to accommodate requests for transfers to alternative dates but shall be under no obligation to grant such requests. 

5.5            Arriving Late. If you are late for any Session, we will not extend the length of it beyond its scheduled finishing time unless we specifically agree to do so at the time when you arrive.

5.6            Your behaviour in respect of the Sessions. We reserve the right to terminate your participation in any Session at any point if you are disrupting it or (in the event that others are attending the Session) it is in the interests of others who are attending that Session. By way of example, we may remove any person who uses threatening, abusive or insulting words or behaviour in our reasonable opinion, or is acting under the influence of alcohol or drugs. Your employer will not be entitled to any refund in the event that we terminate your participation in a Session in these circumstances. Mobile phones should be switched to silent mode during any in-person Session.

5.7            Online Sessions. Some Sessions are conducted by means of third party communications systems. We have no control over those and we are not responsible for any problems you encounter participating in the Sessions by these means. You must abide by the terms and conditions of the relevant communications system provider when using their services. When attending any online Sessions, you must have video and audio enabled.

6. The location of in-person sessions

6.1            You must conduct yourself in a reasonable and responsible manner at all times when at the premises in which any in-person Session takes place (“the Location”) and must not act in any way which may disturb other guests at the Location. If you do not, we may ask you to leave the Location.

6.2            We do not permit you to: 

(a)         smoke anywhere in the Location;

(b)         bring into the Location any child as we do not have anyone to supervise them; or

(c)         bring any animals into the Location with the exception of guide dogs. If you require the use of a guide dog, you should inform us of that before you register to attend the Session.

7. Our Proprietary Rights in our programme materials

7.1            We have taken a lot of time, resources and energy to make the Programme unique and high-quality. We own or licence the intellectual property rights in all of the Programmes, any recording of a Session, and the material we provide in the Programmes be it orally, in writing or electronic form. The Programme’s contents, the Session recordings and the information provided by us to you as part of the Programme is referred to as “Material”. Except for the limited right to use it as set out in this section, we reserve all our rights in the Material.

7.2            Whenever we provide you with access to Material, you will not own the rights to it. Instead we give you permission to use it (also known as a ‘licence’) for the purposes of your own personal wellbeing.

7.3            You are not entitled to share the Material with any other person. You must not adapt the Material for other uses. You must not use any part of the Material for commercial purposes.

8. Our obligation of confidentiality

8.1            Those BioMe personnel who are engaged in dealing with your data in connection with the Programme are subject to a professional obligation of confidentiality in respect of it.

8.2            Except where it has been anonymised (so that it can no longer identify you), we will not disclose it or use any personal data about your health, or any information regarding your ethnic origin, for any purpose other than providing the Programme.

9. Our cancellation of sessions

9.1            We may cancel a Session booked by you at any time before the time and date of that Session in the following circumstances:

(a)         If it is a group Session, the required minimum number of people for the Session have not booked for that Session; or

(b)         the required BioMe personnel necessary for the Session are not available; or

(c)         an event beyond our reasonable control occurs which makes it impractical for us, or less effective for you, to run the Session.
